Welcome to Expin! By registering and using the Expin platform (the “Platform”) as a Content Creator, you agree to the following Terms of Use (“Terms”). Please read these Terms carefully. If you do not agree with any part, you must discontinue use of the Platform immediately.

1. Agreement to Terms

1.1 Acceptance:
By signing up or accessing the Platform, you acknowledge that you have read, understood, and agree to these Terms.

1.2 Modifications:
Expin FZ LLC (“Expin”) reserves the right to revise or update these Terms at any time by posting the changes on the Platform. The “Last Updated” date will reflect the latest revisions. Your continued use of the Platform after any changes signifies your acceptance of the updated Terms.

2. Key Definitions

  • Expin: Refers to Expin FZ LLC, the operator and administrator of the Platform.
  • Content Creator (“you”): An individual or entity who registers on the Platform to promote or collaborate on Merchant campaigns.
  • Merchant: A business or organization that offers products, services, or campaigns for promotional collaboration via the Platform.
  • Experience: Any product, service, or campaign that a Merchant provides for promotional purposes.
  • Request: An action taken by a Content Creator to express interest in a Merchant’s Experience.
  • Booking: Confirmation by a Merchant of a Content Creator’s Request, thereby finalizing the collaboration.
  • PIN Code: A unique identifier provided by the Merchant to verify a Content Creator’s attendance or receipt of a product/service during a campaign.

3. Eligibility and Account Responsibilities

3.1 Accurate Registration:
You must provide accurate, complete, and up-to-date information when creating an account. Providing false or misleading information may lead to suspension or termination.

3.2 Account Security:
You are responsible for safeguarding your login credentials. Any activities under your account are presumed to be conducted by you. Expin disclaims liability for unauthorized access stemming from your failure to secure your credentials.

3.3 Misrepresentation:
Falsely representing your identity, credentials, or campaign metrics may result in immediate suspension, termination of your account, or legal action.

3.4 Information Updates:
You must keep your contact details (e.g., email address, phone number) current to facilitate prompt communication with Merchants and Expin.

4. Campaign Participation

4.1 Request Submission and Approval:

  • To join a campaign, you must submit a Request via the Platform.
  • Merchants may accept or decline your Request at their discretion based on campaign requirements or business needs.

4.2 Obligations Upon Approval:

  • Once your Request is approved, promptly finalize the Booking to confirm your participation.
  • Attend or redeem the Experience as described.
  • Use the Merchant-provided PIN Code to confirm attendance or receipt of the product/service.
  • Comply with all campaign requirements outlined in the campaign brief.

4.3 Content Posting Requirements:

  • Platform-Specific Posting: If you applied using a specific social media channel (e.g., Instagram), you must post the content on that same platform unless Expin provides written permission for alternative platforms.
  • Posting Deadline: Content must be published within 24 hours of attending the event or receiving the product/service. Failure to meet this deadline may result in penalties, including suspension of your account.

4.4 Post-Campaign Review:
Expin conducts post-campaign reviews to assess content quality and compliance. These reviews help identify top-performing Content Creators and improve future campaigns.

4.5 Feedback and Communication:
You are encouraged to provide feedback regarding your collaboration to help Expin refine its processes and offerings.

4.6 Failure to Show or Cancel:
If your Request is approved but you do not finalize the Booking or fail to attend/redeem the Experience without valid reason, Expin may impose penalties—such as account suspension or seeking compensation for losses incurred.

5. Intellectual Property and Content Rights

5.1 Ownership of Campaign Content:

  • By participating in campaigns, you assign all rights, titles, and interests in any content you produce for the campaign (“Campaign Content”) to Expin.
  • This assignment grants Expin the right to use, modify, distribute, and reproduce Campaign Content globally, in perpetuity, and without any royalty or payment to you.

5.2 License to Expin:
You grant Expin a perpetual, irrevocable, and royalty-free license to use the Campaign Content for marketing, promotional, or operational purposes.

5.3 Creator’s Use of Content:
You may not use, repurpose, or redistribute Campaign Content outside of the agreed campaign scope without Expin’s prior written consent. Unauthorized use may result in legal action.

6. Prohibited Actions

6.1 Prohibitions for Content Creators:

  • Contacting Merchants directly to circumvent Expin.
  • Unprofessional conduct, including harassment, dishonesty, or fraudulent behavior.
  • Misrepresenting campaign outcomes or violating any advertising/disclosure standards mandated by law or platform regulations.

6.2 Enforcement and Consequences:
Violation of these Terms may result in immediate suspension, permanent removal from the Platform, and potential legal proceedings where applicable.

7. PR Packages

7.1 Eligibility and Requirements:

  • To receive PR packages, you must provide a valid delivery address and a reachable contact number.
  • You bear the responsibility to keep your delivery details updated.

7.2 Compliance:
Expin may revoke or suspend PR package eligibility if you repeatedly fail to comply with these guidelines or other platform requirements.

8. Payment and Barter Agreements

8.1 Barter System:
Most campaigns operate on a barter basis—i.e., products, services, or experiences provided to you in exchange for promotional content. No monetary compensation is implied unless explicitly stated by the Merchant and approved by Expin.

8.2 Paid Campaigns:

  • Some campaigns may include monetary compensation. In such cases, payment will be made within 30 days of completing all agreed deliverables, unless otherwise specified in the campaign brief.

8.3 Additional Perks:

  • Any additional perks, reimbursements, or benefits must be documented in writing.

8.4 Failure to Deliver:

  • If you receive a product or service but do not publish the required content, Expin may seek damages of no less than 10,000 AED, plus legal fees and other relevant costs.

9. Limitation of Liability

9.1 No Outcome Guarantee:

  • Expin does not guarantee approval of Requests or specific results (e.g., increased followers, engagement, or sales).

9.2 Scope of Non-Liability:

  • Expin is not liable for campaign changes, cancellations, or delays initiated by Merchants.
  • Expin is not responsible for disputes between Merchants and Content Creators.
  • Expin is not liable for technical issues affecting platform accessibility or campaign participation.

9.3 Indemnification:
You agree to indemnify and hold Expin harmless from any claims, damages, or liabilities arising from your use of the Platform or participation in campaigns.

10. Governing Law and Dispute Resolution

10.1 Governing Law:

  • These Terms are governed by the laws of the United Arab Emirates, specifically under the jurisdiction of the Dubai International Financial Centre (DIFC).

10.2 Exclusive Jurisdiction:

  • Any disputes shall be resolved exclusively by the DIFC Courts.
